The Artificers Forge Licensed Merchant Agreement

This Licensed Merchant Agreement (“Agreement”) is entered into between The Artificers Forge Ltd (“The Artificers Forge”, “we”, “us” or “our”) and the active subscriber (“Licensee”) to The Artificers Forge Merchant Patreon membership.

1. Grant of Licence

Subject to compliance with this Agreement and maintenance of an active Licensed Merchant subscription, the Licensor grants the Licensee a non-exclusive, non-transferable, revocable licence to manufacture and sell physical products derived from authorised Artificers Forge digital files.

The licence applies only to digital files created and owned by The Artificers Forge and designated as eligible for commercial use under this programme.

Commercial rights are granted only in respect of eligible Artificers Forge STL files that have been legally obtained from The Artificers Forge or an authorised Artificers Forge distribution partner.

The Licensee must retain proof of purchase for any files used under this Agreement if requested by The Artificers Forge.

1A. Licensed Entity

This licence is granted to a single individual or business entity only.

The rights granted under this Agreement may not be shared, transferred, assigned, sublicensed or otherwise made available to any third party without the prior written consent of The Artificers Forge.

2. Ownership of Intellectual Property

All intellectual property rights, copyrights, trademarks, designs, digital files, product concepts, artwork and associated materials remain the sole property of The Artificers Forge Ltd.

No ownership rights are transferred to the Licensee.

3. Permitted Use

The Licensee may:

·  Download and use eligible Artificers Forge STL files.

·  Manufacture physical products using 3D printing processes only.

·  Advertise and sell physical products created from those files.

·  Sell physical products through any lawful sales channel, including but not limited to Etsy, eBay, Amazon, Shopify, personal websites, physical retail stores, gaming events, conventions and social media marketplaces.

·  Resize models as required for printing or customer requirements.

·  Create and sell painted versions of printed products.

·  Create and sell assembled versions of printed products.

·  Use photographs of printed products for marketing and promotional purposes.

·  Sell physical products to customers outside the United Kingdom.

·  Use the designation “Official Artificers Forge Licensed Merchant” while the licence remains active.Use the designation “Official Artificers Forge Licensed Merchant” while the licence remains active.

4. Restrictions

The Licensee may not:

·  Sell, share, distribute or transfer STL files.

·  Upload STL files to any file-sharing platform.

·  Resell digital files in any format.

·  Modify, remix, adapt or create derivative digital works from Artificers Forge STL files.

·  Redistribute modified STL files.

·  Create moulds, masters, tooling or production systems derived from Artificers Forge designs.

·  Manufacture products using casting, injection moulding or any production method other than 3D printing.

·  Claim ownership of Artificers Forge intellectual property.

·  Transfer this licence to another individual or business.

·  Use Artificers Forge trademarks except as expressly permitted under this Agreement.

·  Sell physical products within the United Kingdom.

·  Authorise, sublicense or permit any third party to exercise rights granted under this Agreement.

·  Operate multiple businesses under a single licence without written approval from The Artificers Forge.

·  Share files, production assets, merchant benefits or discount codes with third parties.

Technical modifications required for successful printing, including scaling, orientation, support generation and minor mesh repairs, are permitted. Modifications that alter the artistic design, appearance, functionality or character of the model are prohibited.

5. Geographic Restriction

The Artificers Forge retains exclusive rights to market, advertise and sell physical products within the United Kingdom.

Licensed Merchants must not actively market, advertise or target sales within the United Kingdom.

The Licensee remains responsible for complying with all applicable laws, taxes, import regulations and consumer protection requirements within their territory.

6. Subscription Requirement

This licence remains valid only while the Licensee maintains an active Licensed Merchant subscription through Patreon or any successor platform designated by The Artificers Forge.

If the subscription ends, is cancelled, expires or payment fails:

  • Commercial rights terminate immediately.
  • The Licensee must cease manufacturing new products derived from Artificers Forge files.
  • Existing inventory may continue to be sold for a period of thirty (30) days following termination of the licence.
  • After the thirty-day sell-off period, all remaining inventory must be removed from sale.

7. Product Quality

The Licensee is solely responsible for:

  • Product quality
  • Manufacturing standards
  • Packaging
  • Customer service
  • Refunds
  • Returns
  • Warranty claims
  • Customer disputes
  • Compliance with local laws and regulations

The Artificers Forge accepts no responsibility or liability for customer complaints, refunds, returns, disputes or claims arising from products manufactured or sold by the Licensee.

8. Licensed Merchant Status

Active Licensees may identify themselves as:

“Official Artificers Forge Licensed Merchant”

Any merchant logos, badges or branding assets provided by The Artificers Forge remain the property of The Artificers Forge Ltd and may only be used while the licence remains active.

Licensees are encouraged, but not required, to identify products as being manufactured under licence from The Artificers Forge.

Upon termination of the licence, all references to Licensed Merchant status must be removed within 30 days.

The Licensee may use photographs, rendered images and promotional materials relating to authorised Artificers Forge products for the purpose of marketing and selling physical products covered by this Agreement.

Such use does not transfer ownership of any intellectual property rights and remains subject to the terms of this Agreement.

8A. Merchant Directory

Participation in the Official Artificers Forge Licensed Merchant Directory is entirely optional.

Merchants must provide explicit consent before being listed.

The Artificers Forge reserves the right to modify, update or remove directory listings at its discretion.

9. Termination

The Artificers Forge may revoke this licence immediately if the Licensee:

  • Breaches any provision of this Agreement.
  • Distributes STL files without authorisation.
  • Infringes intellectual property rights.
  • Misrepresents their relationship with The Artificers Forge.
  • Engages in unlawful or fraudulent activity.

Termination does not limit any other rights or remedies available to The Artificers Forge.

10. Limitation of Liability

To the fullest extent permitted by law, The Artificers Forge shall not be liable for any indirect, incidental, consequential or special damages arising from the Licensee’s use of the files or operation of their business.

The Licensee accepts all risks associated with manufacture and sale of products derived from Artificers Forge designs.

11. Amendments

The Artificers Forge reserves the right to amend this Agreement at any time.

Updated versions will be published through Patreon and/or the official Artificers Forge website.

Continued subscription after publication of an updated Agreement constitutes acceptance of the revised terms.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

By maintaining an active Licensed Merchant subscription, the Licensee confirms that they have read, understood and agreed to this Agreement.
